The website located at genicoder.com (the “Site”), and the GeniCoder platform made available through it, are owned and operated by GeniCoder (“GeniCoder,” “we,” “our,” or “us”). The Site and platform are intended for use by healthcare organizations, medical coding and compliance professionals, and other individuals or organizations evaluating or using our medical coding platform (“you” or “your”).

These Terms of Use govern your access to and use of the Site and form a binding agreement between you and GeniCoder. By accessing or using the Site, you agree to be bound by these Terms of Use. If you do not agree, please do not access or use the Site.

1. Description of the Site

The Site is provided as an informational and marketing resource to help visitors learn about the GeniCoder medical coding platform, including its clinical documentation processing, specialty based coding logic, multi document validation, and bulk coding and audit modules, and to request a walkthrough or demo. The Site is not itself the coding platform. Access to and use of the GeniCoder platform, including any processing of protected health information, is governed by a separate signed Service Agreement, order form, and, where applicable, a Business Associate Agreement between you and GeniCoder, and not by these Terms of Use alone.

2. Eligibility

You must be at least 18 years old to use the Site. If you are using the Site on behalf of a healthcare organization or other entity, you represent that you have the authority to bind that organization to these Terms of Use.

3. Privacy Policy

Our Privacy Policy, available at genicoder.com/privacy-policy, describes how we collect, use, and disclose information through the Site, and describes at a general level how healthcare and clinical data is handled through the platform. The Privacy Policy is incorporated into and forms part of these Terms of Use.

4. Access and Use of the Site

You agree to use the Site only for lawful purposes and to provide accurate, current, and complete information when submitting any form on the Site, including your demo request or sign up submission. You agree to notify us immediately at privacy@genicoder.com of any unauthorized use of the Site that you become aware of. You are solely responsible for ensuring that your use of the Site complies with these Terms of Use and all applicable

5. Demo and Walkthrough Requests

Requests for a demo or walkthrough are reviewed before scheduling. Walkthroughs are intended for healthcare organizations genuinely evaluating medical coding workflows. Submissions made using personal email domains, or that omit material organization details, may not receive a response. GeniCoder reserves the right to decline any demo or walkthrough request in its discretion.

6. Intellectual Property Rights

All content on the Site, including text, graphics, logos, the GeniCoder name and marks, images, videos, blog articles, and the design, arrangement, and selection of that content (collectively, the “Content”), is owned by or licensed to GeniCoder and is protected under United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to view the Content for your own personal or internal business informational purposes. You may not reproduce, distribute, modify, publicly display, republish, or otherwise exploit any Content without our prior written permission. The GeniCoder name and logo may not be used in any advertising, publicity, or promotional material without our express prior written consent.

7. No Coding, Medical, or Reimbursement Advice

Content published on the Site, including blog articles, resource materials, and reported metrics such as review time reductions or coding consistency improvements, is provided for general informational purposes only and reflects internal operational observations reported by individual organizations. Actual results vary based on documentation quality, case mix, and workflow design, and these figures are not a guarantee of results for any particular organization. Site content does not constitute legal, medical, coding, billing, or reimbursement advice, and should not be relied upon as a substitute for review by a qualified, credentialed medical coder or compliance professional.

Coding outputs generated by the GeniCoder platform are intended for review, validation, and audit by professional coders and are not designed for unchecked direct submission to a payer or clearinghouse. GeniCoder does not replace human coders or professional judgment.

8. Information You Submit to the Site

When you submit information through a form on the Site, such as your name, contact details, or a description of your organization’s coding workflow, you represent that the information is accurate and that you have the right to share it with us. By submitting this information, you grant GeniCoder the right to use it to respond to your inquiry, evaluate your demo request, and, where you have consented, send you marketing communications, in each case consistent with our Privacy Policy. Do not submit protected health information or other clinical data through the public marketing Site; such data should only be submitted through the authenticated GeniCoder platform under an applicable service agreement.

9. Prohibited Conduct

While accessing or using the Site, you agree that you will not:

  1. Post or transmit content that is unlawful, defamatory, threatening, harassing, abusive, or obscene
  2. Infringe the intellectual property rights, privacy rights, or other rights of GeniCoder or any third party
  3. Violate any applicable local, state, federal, or international law or regulation
  4. Transmit viruses, malware, or other harmful code, or attempt a denial-of-service attack against the Site
  5. Use bots, scrapers, or similar automated means to access, harvest, or copy Content without our prior written permission
  6. Impersonate any person or entity or misrepresent your affiliation with any person or entity
  7. Submit protected health information or other regulated clinical data through the public marketing Site
  8. Interfere with or disrupt the security, integrity, or performance of the Site or its underlying systems
  9. Attempt to gain unauthorized access to any portion of the Site, other accounts, or connected systems
  10. Use the Site in any manner that could harm minors
  11. Use any Content or materials from the Site to train, fine-tune, or build a competing artificial intelligence or machine learning model without our prior written permission

10. Communications and Marketing Consent

By providing your email address and opting in through a form on the Site, you consent to receive marketing and product communications from GeniCoder related to platform updates, specialty coding rule changes, and audit readiness content. If you provide a phone number, GeniCoder or its team may use it to call or text you regarding your demo or inquiry, including to schedule or confirm a walkthrough. We do not use phone numbers collected through the Site for marketing calls or texts. You may opt out of marketing communications at any time using the unsubscribe link included in each communication. Opting out of marketing communications will not affect our ability to respond to a demo request or an active account relationship. We do not sell your contact information to third parties for unrelated marketing purposes

11. Third-Party Links

The Site may contain links to third-party websites and platforms, including our social media pages. GeniCoder does not control and is not responsible for the content, accuracy, or privacy practices of these third-party sites, and their inclusion does not imply endorsement by GeniCoder.

12. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. GENICODER DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. NOTHING ON THE SITE CONSTITUTES A GUARANTEE OF CODING ACCURACY, CLAIM ACCEPTANCE, OR REIMBURSEMENT OUTCOMES.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GENICODER AND ITS OWNERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This limitation does not apply to obligations set out in a separate written Service Agreement or Business Associate Agreement between GeniCoder and a customer, which will govern liability with respect to the platform and any protected health information processed under that agreement.

14. Indemnification

You agree to defend, indemnify, and hold harmless GeniCoder and its owners, officers, employees, and agents from any claims, damages, liabilities, and reasonable legal fees arising out of your violation of these Terms of Use or your misuse of the Site.

15. Termination

GeniCoder may restrict, suspend, or terminate your access to all or part of the Site at any time, with or without notice and with or without cause, including where we believe you have violated these Terms of Use.

16. Governing Law and Dispute Resolution

These Terms of Use are governed by the laws of the State of Nevada, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms of Use or your use of the Site shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.

17. Changes to These Terms of Use

We may update these Terms of Use from time to time by posting a revised version on the Site with an updated “Effective Date.” You are responsible for periodically reviewing these Terms of Use. Your continued use of the Site after any changes take effect constitutes your acceptance of the revised Terms of Use.

18. Miscellaneous

If any provision of these Terms of Use is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and GeniCoder regarding your use of the Site. Our failure to enforce any provision of these Terms of Use shall not be considered a waiver of that provision.

These Terms of Use do not create any rights or remedies for any third party.
